The Annotated Ontario Franchise Disclosure Act and The Annotated Alberta Franchises Act by Peter Macrae Dillon: "a must-read" for franchisors, franchisees and their advisors.

Invaluable...

Canada Law Book and Peter Macrae Dillon present the Annotated Ontario Franchise Disclosure Act and the Annotated Alberta Franchise Disclosure Act – two portable volumes containing the legislation, caselaw and commentary you need. With franchising in Canada representing over 90 billion dollars a year in sales, these handy references are a must have for franchisors, franchisees and their advisors.

And then they were three...

In July 2006 PEI joined Ontario and Alberta as the third franchise-regulated jurisdiction in Canada . PEI's disclosure requirement will become effective on January 1, 2007. As of that date, PEI, Ontario and Alberta franchisors must comply with all aspects of these laws, including the good faith and fair dealing provisions, the right of association provisions, and the all-important disclosure requirements. Experience with the laws, including judicial consideration, is only now starting to evolve.

"The Annotated Acts will prove to be invaluable to the legal and business community....No other single source explains the current legislation and decisions of the courts interpreting and applying that legislation....The quality of these books is representative of the author Peter Macrae Dillon who is a highly respected lawyer specializing in the area of franchising."

Richard Cunningham

President, Canadian Franchise Association.

Franchising doesn't have to be a risky business. A healthy relationship between franchisee and franchisor requires full appreciation of the differences between "good faith" and "fair dealing". Dillon offers an in-depth discussion on the good faith versus fair dealing debate and includes quite possibly the best compilation of sample wording for disclosure documents available in Canada . Also included:

  • the publisher's unofficial consolidation of the PEI, Ontario and Alberta Franchise Disclosure Acts.
  • An unannotated reproduction of the Acts and their General Regulations.
  • fully annotated reproductions of the Ontario and Alberta Acts and their regulations.
  • Unparalleled, extensive analysis of the Canadian and UK common law underlying the Acts and their regulations, in order to provide as much assistance to users as to how to comply, and how the courts will likely interpret the Acts and Regulations.
  • An analysis of prior Alberta statutes, regulations and policies, in an effort to make sense of the current law in Ontario and Alberta.
  • A comprehensive consideration of the UFOC Guidelines and FTC Franchise Rule, to put the Acts and Regulations in context with their US progenitors.
  • Up-to-date court decisions from across Canada.
  • Extensive U.S. , U.K. , and Australian caselaw on the topic of good faith and fair dealing.
  • Table of Cases.
  • Cross-references.
  • Sample disclosure documents.
  • Index.
  • User's Guide.
  • Canadian Franchise Association Code of Ethics and Disclosure Guide and Commentary.
  • Table of Concordance comparing the PEI, Ontario and Alberta Acts.
  • Table of Concordance comparing the PEI, Ontario and Alberta General Regulation.
  • Table of Concordance comparing the Ontario Regulations with the UFOC Guidelines.
  • A step-by-step guide for US franchisors and their advisors to convert their UFOC for use in Ontario.
  • All legislative amendments to date.
